Terms and Conditions of Wholesale
Welcome to VOSSO® Wholesale! We're thrilled that you're considering our products for your retail business. These Terms and Conditions outline the rules and guidelines for all wholesale transactions, ensuring smooth and transparent business dealings for both parties. Please read through carefully before placing any orders.
By placing an order with VOSSO®, you agree to the following terms and conditions. If you have any questions or concerns, don't hesitate to contact us at info@vosso.co.uk.
1. General Information
1.1 Wholesale Marketplace: We provide a range of select VOSSO® products to retailers and resellers through our wholesale programme. By choosing our company VOSSO®, you acknowledge that you are purchasing products for resale.
1.2 Eligibility: To qualify for wholesale pricing, you must be a registered business with valid reseller credentials. We reserve the right to request proof of your business status before submitting our wholesale pricing or processing any orders.
1.3 UPC: Universal Product Codes, can be provided to help identify a product series. Please enquire within.
2. Ordering
2.1 Minimum Order Quantity (MOQ): The minimum order quantity (MOQ) is defined as the smallest number of units that you can purchase for each product line offered. The MOQ varies per product line and will be outlined on the product pages within our PDF catalogue line sheet and or online shop price list.
2.2 Order Confirmation: Orders are confirmed once our signed Pro-Forma invoice/Purchase Order (PO) has been completed to commence fabrication processes.
2.3 Pre-Orders: Pre-orders are accepted for new products that are not yet available for immediate shipment. Payment is required upfront for all and any sales from stocked items, commissions, projects or any other type of pre-order.
2.4 Backorders: If an item is out of stock after your order is placed, we will notify you and provide an estimated shipping date for the backordered item. Backordered products will be shipped as soon as they become available.
2.5 Catalogue and Line Sheets: All products are listed in our online and PDF catalogues. Catalogues include detailed descriptions, prices, and product specifications.
3. Pricing and Payments
3.1 Pricing: All prices are subject to change without notice. The prices listed on your invoice will be honoured unless there has been a clear error, miscommunication or exponential increase in material costs.
3.2 Net Payment Terms: Our standard payment terms are Net 30, meaning payment is due within 30 days from the invoice date. Please note: production can not begin until full payment has been received.
3.3 Payment Methods: Payments can be made via bank transfer, credit card, or cheque. COD (Cash on Delivery) is available for certain orders. Credit Card payments may incur a processing fee to cover VOSSO® fees.
3.4 Late Payments: Payments not received by the due date will be subject to a late fee of [2-5]% per month. We reserve the right to suspend future orders until an outstanding balance is settled.
4. Shipping and Delivery
4.1 Shipping Address: Please ensure your shipping address is correct at the time of order. We are not responsible for errors due to incorrect shipping information provided by you.
4.2 Delivery Window: Standard delivery times are 1-90 days depending on your quantity and the product\s ordered. If you require a specific shipping window, please notify us in advance.
4.3 Shipping Costs: Shipping costs are calculated based on the weight, size, and destination of your order. Shipping costs a generally free or they will be added to your invoice unless otherwise agreed upon.
4.4 Exclusivity: For certain high-demand products, exclusivity agreements may be available. Exclusivity agreements are negotiated on a case-by-case basis and may be limited to specific geographic regions or sales channels.
4.5 International Shipping: International customers are responsible for all applicable import duties, taxes, and customs fees and any products that fall under GPSR must be dealt with directly with VOSSO® and not a foreign representative.
5. Returns and Exchanges
5.1 Return Merchandise Authorisation (RMA): To return any products, you must first request an RMA. Products returned without an RMA may not be accepted. Please contact our customer service team for instructions on how to return items.
5.1a Defective Products: If you receive defective products, please notify us within 48 hours of receipt. We quality check our products in-house to avoid defective products. We will provide a replacement for the defective items. Returns for defective items are free of charge.

6. Compliance and Vendor Requirements
6.1 Vendor Compliance: As a wholesale partner, you must comply with all relevant industry standards, product safety regulations, and shipping guidelines. Failure to do so may result in delayed shipments or cancellation of your account.
6.2 Branding and Pricing Guidelines: We ask that all retailers adhere to the Minimum Advertised Price (MAP) and Manufacturer’s Suggested Retail Price (MSRP) guidelines. Any violations may result in suspension of your wholesale account.

7. Order Cancellations and Modifications
7.1 Order Cancellation: Orders can be cancelled prior any manufacturing process which can commence within 24hrs from an order date. After this period, cancellation may not be possible.
7.1a Modifications: Please contact us within 24hrs if you need to modify your order. Once an order has been submitted, it is processed immediately, and modifications may not be possible.
8. Liability and Warranty
8.1 Product Warranty: All products are covered by warranty against manufacturing defects which should be reported within 48 hrs of delivery. All products orders are checked prior delivery to assure guarantees on product quality. This warranty does not cover damages resulting from misuse, accidents, or improper storage.
8.2 Liability: VOSSO® is not liable for any direct, indirect, incidental, or consequential damages arising from the sale or use of our products. The buyer assumes all risks associated with the resale and use of products purchased from us.
9. Confidentiality and Intellectual Property
9.1 Confidentiality: All pricing, product information, and other business-related details provided by VOSSO® are considered confidential and should not be disclosed to third parties without prior written consent.
9.2 Intellectual Property: All product images, branding, logos, and trademarks remain the intellectual property of VOSSO®. Unauthorized use of these assets is prohibited.
10. Force Majeure
10.1 Force Majeure: We are not liable for delays or failure to fulfil orders caused by circumstances beyond our control, including but not limited to fabrication processes, material resources, acts of God, war, strikes, labour disputes, supply shortages, or transportation delays.
11. Amendments
11.1 Changes to Terms: VOSSO® reserves the right to amend these Terms and Conditions at any time. All changes will be communicated here in writing or via email and will apply to future orders placed after the modification, so please check back here prior any and all future orders.
12. Governing Law and Dispute Resolution
12.1 Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom.
12.2 Dispute Resolution: Any disputes arising from wholesale transactions shall be resolved through mediation or arbitration in the United Kingdom. Both parties agree to resolve any issues in good faith.
